By accessing or using the CoRise website (corise.us), booking a tour, submitting a membership inquiry, or using any of our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, users, members, and others who access or use our website and services.

CoRise provides: • Flexible therapy room and office space rentals (hourly, daily, and monthly) • Telehealth pods for virtual sessions • Coworking space for mental health and wellness professionals • Virtual address and mail handling services • Shared amenities including lounges, kitchenette, and waiting areas • Provider directory listing for members • Tour scheduling and membership inquiry services All services are subject to availability and the specific terms of your membership or rental agreement.

Our services are designed for licensed mental health professionals, wellness practitioners, and related professionals. To use our physical spaces, you must: • Be at least 18 years of age • Hold a valid professional license or be supervised by a licensed professional (where applicable) • Comply with all applicable California Board of Behavioral Sciences (BBS) regulations and other relevant licensing board requirements • Maintain current professional liability insurance (if required for your profession) • Provide accurate and truthful information during registration and booking

Memberships: • Membership plans, pricing, and included services are as described on our Memberships page • Memberships are non-transferable unless otherwise specified • We reserve the right to modify membership terms and pricing with 30 days' notice • Founding member pricing is subject to availability and specific terms disclosed at signup Room and Space Bookings: • Bookings are subject to availability • Cancellation policies apply as specified during the booking process • No-shows or late cancellations may result in forfeiture of the booking fee • You are responsible for leaving the space in the condition in which you found it Payments: • All fees are in US dollars and are due as specified in your membership or booking agreement • We accept payment through our authorized payment processors • Late payments may incur additional fees • We reserve the right to suspend services for non-payment

When using our facilities or website, you agree to: • Comply with all applicable federal, state, and local laws and regulations • Maintain client confidentiality and comply with HIPAA requirements (where applicable to your practice) • Treat other members, staff, and visitors with courtesy and respect • Not engage in any illegal, disruptive, or harmful activity on the premises or through our services • Not use the space for purposes other than those permitted under your membership or booking • Keep noise levels appropriate for a professional therapy environment • Not smoke, vape, or use illegal substances on the premises • Not bring weapons onto the premises • Not sublease, share, or transfer your space access to unauthorized individuals • Report any facility issues, safety concerns, or maintenance needs promptly Violation of these rules may result in immediate termination of your membership or booking without refund.

All content on the CoRise website — including text, graphics, logos, images, design elements, and software — is the property of CoRise or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not: • Reproduce, distribute, or publicly display our content without written permission • Use our trademarks, logos, or branding without authorization • Scrape, copy, or extract data from our website using automated means Your use of our website does not grant you any ownership rights in our content or intellectual property.

Members who opt into our Provider Directory agree that: • The information you submit (name, credentials, specialties, contact information, photo) will be publicly visible on our website • You are responsible for the accuracy and currency of your directory listing • CoRise does not verify, endorse, or guarantee the qualifications or services of listed providers • You may request removal of your listing at any time by contacting us • CoRise reserves the right to remove or modify listings that violate these terms or are deemed inappropriate

Website Usage: • We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes • You agree not to interfere with or disrupt the website's operation or security AI Chat Assistant: • Our website features an AI-powered chat assistant to answer common questions • The AI assistant provides general information only and does not constitute professional, legal, or medical advice • Responses are generated by artificial intelligence and may not always be accurate or complete • For specific inquiries, please contact us directly at info@corise.us or (909) 321-6565

To the fullest extent permitted by California law: • CoRise is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services • Our total liability for any claim arising from these terms shall not exceed the amount you paid to CoRise in the 12 months preceding the claim • CoRise is not responsible for the actions, conduct, or professional services of any member, provider, or visitor • We are not liable for any loss or damage to personal property left on the premises • We are not responsible for any interruption or unavailability of our website or online services CoRise provides its services "as is" and "as available" without warranties of any kind, express or implied, except as required by law.

You agree to indemnify, defend, and hold harmless CoRise, its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: • Your use of our website or services • Your violation of these Terms and Conditions • Your professional services provided at our facilities • Any claim by a third party related to your conduct or services • Your negligence or willful misconduct on our premises

CoRise provides physical space for therapists and wellness professionals. While we design our spaces with privacy in mind (including sound insulation and private rooms): • CoRise is not a covered entity under HIPAA. Each provider is independently responsible for their own HIPAA compliance. • Providers must ensure their own practices meet all applicable confidentiality and privacy requirements • CoRise does not access, store, or manage any protected health information (PHI) belonging to providers' clients • Providers are responsible for using their own HIPAA-compliant technology, software, and communication tools • Our facility design supports but does not guarantee compliance with any specific regulatory standard

• Members and users are strongly encouraged to maintain their own professional liability insurance • CoRise maintains general liability insurance for the facility but this does not extend to individual provider practices • CoRise is not responsible for any claims arising from the professional services of its members • Members are responsible for ensuring adequate insurance coverage for their own practice activities

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Informal Resolution: Before filing any formal dispute, you agree to contact us at info@corise.us to attempt to resolve the matter informally within 30 days. Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration in San Bernardino County, California, in accordance with the rules of the American Arbitration Association. Class Action Waiver: You agree to resolve disputes with CoRise on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. Small Claims Exception: Either party may bring claims in small claims court in San Bernardino County, California, if the claim qualifies.

We reserve the right to: • Terminate or suspend your access to our website and services at any time, with or without cause • Cancel memberships with 30 days' written notice • Immediately terminate access for violations of these terms, facility rules, or applicable law Upon termination, your right to use our services ceases immediately. Provisions of these terms that by their nature should survive termination shall survive (including indemnification, limitation of liability, and dispute resolution).
